These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (the "User", "you", or "your") and EduPayOS ("we", "our", "us", "the Company", or "EduPayOS") governing your access to and use of our payment orchestration and commission management platform services (collectively, "the Platform" or "Services"), available at edupayos.com and through our software applications, APIs, and related services.
By accessing, registering for, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms or our Privacy Policy, you must not access or use our Services.
These Terms apply to all users of the Platform, including but not limited to: universities and their authorised staff members; education agents and their representatives; students and their sponsors (where applicable); and any other individuals or entities who access or use our Services. If you are using the Platform on behalf of an organisation, you represent and warrant that: (i) you have the legal authority to bind that organisation to these Terms; (ii) you have read and understood these Terms; and (iii) you agree to these Terms on behalf of the organisation.
We may update these Terms from time to time, and we will notify you of material changes as required by law. Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms, unless we are required by law to obtain your explicit consent.
EduPayOS provides a neutral orchestration platform that enhances and integrates with your existing payment and commission management systems. Our Services facilitate the coordination, validation, tracking, and reconciliation of payment workflows and commission processes without replacing your existing systems or holding client funds.
Our Platform provides the following core functions:
Important Legal Disclaimer: EduPayOS operates as a technology provider and neutral orchestration layer. We do not: (i) hold or control client funds or monies; (ii) act as a payment institution, electronic money institution, or regulated financial services provider; (iii) carry or assume FX exposure or currency risk; (iv) perform regulated financial activities including KYC (Know Your Customer) checks, AML (Anti-Money Laundering) compliance, FX conversion, settlement, or payment transfers.
All regulated financial activities are performed by licensed payment partners and regulated financial institutions that you designate and contract with directly. EduPayOS facilitates the orchestration and workflow management of these activities, but the actual execution of regulated financial services is the responsibility of your payment providers. Any disputes regarding payment execution, FX conversion, settlement, or transfers should be directed to the relevant payment provider, not to EduPayOS.
Whilst we strive to maintain high availability and reliability, we do not guarantee uninterrupted, error-free, or secure access to our Services. The Platform may be unavailable due to: (i) scheduled maintenance, updates, or upgrades; (ii) unscheduled maintenance or repairs; (iii) technical failures, bugs, or errors; (iv) circumstances beyond our reasonable control (including but not limited to natural disasters, pandemics, cyberattacks, or regulatory actions); or (v) your actions or omissions (including but not limited to violations of these Terms, fraudulent activity, or non-payment of fees).
We reserve the right to: (i) modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice; (ii) impose limits on certain features or restrict access to parts of the Platform; (iii) add, remove, or modify features and functionality; (iv) change our pricing, fees, or billing models (with appropriate notice); or (v) terminate or restrict access to the Platform for any reason, including violations of these Terms, non-payment of fees, or for security or legal reasons.
To use our Services, you must: (i) be at least 18 years of age and have the legal capacity to enter into binding contracts under applicable law; (ii) have the legal authority to bind your organisation to these Terms (if using on behalf of an organisation); (iii) provide accurate, complete, and current information during registration and account maintenance; (iv) maintain the security and confidentiality of your account credentials; and (v) comply with all applicable laws, regulations, and these Terms.
You represent and warrant that: (i) all information you provide during registration and account maintenance is accurate, complete, and current; (ii) you are authorised to use the Platform on behalf of your organisation (if applicable); (iii) your use of the Platform will not violate any applicable laws, regulations, or third-party rights; (iv) you will not use the Platform for fraudulent, illegal, or unauthorised purposes; and (v) you have read, understood, and agree to these Terms and our Privacy Policy.
To access and use our Services, you must register for an account by providing: (i) your full name and email address; (ii) your organisation name and role; (iii) contact information (where applicable); and (iv) any other information we reasonably require for account creation and verification. You may be required to verify your email address and identity before your account is activated.
Each user account is personal to you and may not be shared, transferred, or assigned to another person or entity. Organisations may create multiple user accounts for their authorised staff members, but each account must be associated with a specific individual and their email address. You are responsible for ensuring that all information associated with your account remains accurate, complete, and current.
You are solely responsible for maintaining the confidentiality and security of your account credentials (including your username, password, and any authentication tokens). You agree to:
You are responsible for all activities that occur under your account, whether authorised by you or not. We are not liable for any loss or damage arising from unauthorised use of your account, unless such unauthorised use is directly caused by our breach of security obligations or negligence. If you suspect unauthorised access, you must notify us immediately and take steps to secure your account (including changing your password).
We reserve the right to: (i) verify your identity and the information you provide during registration; (ii) request additional information or documentation to verify your identity or organisation; (iii) suspend or restrict your account pending verification or compliance checks; or (iv) terminate your account if we cannot verify your identity or if you fail to comply with our verification requirements.
You agree to cooperate with our verification and compliance processes and to provide accurate, complete, and current information when requested. Failure to provide requested information or provision of false, inaccurate, or misleading information may result in suspension or termination of your account.
You agree to use our Platform in a lawful, responsible, and ethical manner, and in accordance with these Terms and all applicable laws, regulations, and industry standards. You agree not to:
Any violation of this Section 4 may result in: (i) immediate suspension or termination of your account and access to the Platform; (ii) removal of your data and content from the Platform; (iii) legal action and prosecution to the full extent permitted by law; (iv) reporting to law enforcement authorities or regulatory bodies; and (v) liability for damages, losses, and legal costs. We reserve the right to take any action we deem necessary to protect the Platform, our users, and our interests.
When you create payment instructions through the Platform, you: (i) authorise EduPayOS to transmit those instructions to your designated payment provider; (ii) represent and warrant that you have the legal authority to authorise such payments; (iii) acknowledge that EduPayOS validates and orchestrates the workflow but does not execute payments directly; and (iv) understand that the actual payment execution, FX conversion, settlement, and transfer are performed by your licensed payment partner, not by EduPayOS.
You are responsible for: (i) ensuring the accuracy and completeness of all payment instruction details (including amounts, currencies, beneficiary information, and payment references); (ii) verifying that you have sufficient funds or credit facilities to cover the payment; (iii) ensuring compliance with all applicable laws, regulations, and contractual obligations related to the payment; and (iv) resolving any disputes regarding payment execution with your payment provider, not with EduPayOS.
Commission payouts are processed based on validated commission data that you provide, upload, or approve through the Platform. You are solely responsible for: (i) the accuracy and completeness of all commission calculations, amounts, and beneficiary details; (ii) ensuring compliance with applicable laws, regulations, and contractual obligations related to commission payments; (iii) verifying that you have the legal authority and sufficient funds to authorise commission payouts; and (iv) resolving any disputes regarding commission calculations or payouts with relevant parties, not with EduPayOS.
EduPayOS validates and orchestrates the commission workflow but does not execute commission payouts directly. The actual payout execution is performed by your designated payment provider. You acknowledge that EduPayOS is not responsible for errors in commission calculations provided by you, incorrect beneficiary details, or failures in payout execution by your payment provider.
Refunds and payment reversals are processed through the Platform based on your approvals and instructions. You are responsible for: (i) ensuring the accuracy of refund amounts, reasons, and beneficiary information; (ii) verifying that refunds comply with applicable laws, regulations, and contractual obligations; (iii) authorising refunds only where you have the legal authority to do so; and (iv) resolving disputes regarding refunds with your payment provider, not with EduPayOS.
Commission clawbacks and adjustments are processed through the Platform to manage commission exposure and correct errors. You are responsible for: (i) ensuring the accuracy of clawback calculations and reasons; (ii) verifying that clawbacks comply with applicable laws, regulations, and contractual agreements with agents; (iii) authorising clawbacks only where legally and contractually permitted; and (iv) resolving disputes regarding clawbacks with relevant parties, not with EduPayOS.
Any fees charged by EduPayOS for use of the Platform will be clearly disclosed in your service agreement, order form, or pricing schedule. Fees may include: (i) platform subscription fees (monthly or annual); (ii) transaction-based fees (per payment or commission processed); (iii) integration or setup fees; (iv) support or maintenance fees; or (v) other fees as agreed between the parties.
All fees are exclusive of applicable taxes, duties, and regulatory fees (including VAT, sales tax, or similar taxes), which will be added to your invoice where required by law. You are responsible for paying all fees due to EduPayOS in accordance with your service agreement. Failure to pay fees may result in suspension or termination of your account.
EduPayOS fees are separate from fees charged by your payment providers for actual payment execution, FX conversion, and settlement. Payment provider fees are disclosed and charged by your payment provider, not by EduPayOS. EduPayOS is not responsible for payment provider fees or any disputes regarding payment provider fees.
EduPayOS is not responsible for, and does not guarantee: (i) the successful execution, completion, or settlement of any payment, commission payout, refund, or clawback; (ii) the accuracy of FX rates, conversion rates, or settlement amounts; (iii) the availability, reliability, or performance of your payment providers; (iv) delays, failures, or errors in payment execution by your payment providers; or (v) losses arising from payment provider failures, errors, or fraudulent activity.
Any disputes regarding payment execution, FX conversion, settlement, or transfers must be directed to your payment provider, not to EduPayOS. EduPayOS provides workflow orchestration and status tracking, but the actual financial transactions are executed by your licensed payment partners.
You retain all ownership rights, title, and interest in and to your data and content (including but not limited to payment instructions, commission data, student records, beneficiary information, and any other data or content you upload, enter, or process through the Platform). By using the Platform, you grant EduPayOS a limited, non-exclusive, royalty-free, worldwide license to use, store, process, and access your data solely for the purpose of providing, operating, maintaining, and improving our Services, and in accordance with our Privacy Policy.
You represent and warrant that: (i) you own or have the necessary rights, licenses, and permissions to use, upload, and process your data through the Platform; (ii) your data does not infringe upon or violate any third-party rights (including intellectual property rights, privacy rights, or data protection rights); (iii) your data complies with all applicable laws and regulations; and (iv) you have obtained all necessary consents and authorisations required to process your data through the Platform.
The Platform, including its software, code, design, graphics, text, content, features, functionality, user interface, APIs, documentation, and all related intellectual property, is owned by EduPayOS, its licensors, or third parties, and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws and treaties.
Subject to your compliance with these Terms, EduPayOS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your internal business purposes in accordance with these Terms. This license does not include the right to: (i) copy, modify, adapt, alter, translate, or create derivative works based on the Platform; (ii) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform; (iii) distribute, sublicense, rent, lease, lend, or otherwise transfer the Platform to third parties; (iv) use the Platform to build a competing product or service; (v) remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Platform; or (vi) use the Platform for any purpose other than as expressly permitted by these Terms.
The EduPayOS name, logo, trademarks, and other branding elements are owned by EduPayOS or its licensors. You may not use, display, or reproduce any EduPayOS trademarks, logos, or branding without our prior written consent. Nothing in these Terms grants you any right or license to use any EduPayOS trademarks or branding.
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. EDUPAYOS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
EDUPAYOS DOES NOT WARRANT THAT: (I) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (II) THE PLATFORM WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE RESULTS OBTAINED FROM USING THE PLATFORM WILL BE ACCURATE, RELIABLE, OR COMPLETE; (IV) DEFECTS OR ERRORS WILL BE CORRECTED; OR (V) THE PLATFORM OR THE SERVER(S) ON WHICH IT IS HOSTED ARE FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUPAYOS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE PLATFORM, THE USE OR INABILITY TO USE THE PLATFORM, OR ANY TRANSACTIONS OR PAYMENTS PROCESSED THROUGH THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), AND EVEN IF EDUPAYOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUPAYOS'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS, LOSSES, DAMAGES, OR EXPENSES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE PLATFORM, OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO EDUPAYOS IN THE TWELVE (12) MONTHS PRECEDING THE DATE ON WHICH THE CLAIM FIRST AROSE, OR ONE HUNDRED POUNDS STERLING (£100), WHICHEVER IS GREATER.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS EDUPAYOS'S LIABILITY FOR: (I) DEATH OR PERSONAL INJURY CAUSED BY EDUPAYOS'S NEGLIGENCE; (II) FRAUD OR FRAUDULENT MISREPRESENTATION; (III) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW; OR (IV) ANY BREACH OF APPLICABLE DATA PROTECTION LAWS WHERE SUCH BREACH CANNOT BE EXCLUDED OR LIMITED BY LAW.
EDUPAYOS IS NOT RESPONSIBLE FOR, AND SHALL NOT BE LIABLE FOR: (I) THE ACTIONS, ERRORS, OMISSIONS, OR PERFORMANCE OF PAYMENT PROVIDERS, FINANCIAL INSTITUTIONS, OR OTHER THIRD-PARTY SERVICES INTEGRATED WITH THE PLATFORM; (II) DELAYS, FAILURES, OR ERRORS IN PAYMENT EXECUTION, FX CONVERSION, SETTLEMENT, OR TRANSFERS PERFORMED BY YOUR PAYMENT PROVIDERS; (III) LOSSES ARISING FROM PAYMENT PROVIDER FAILURES, ERRORS, FRAUDULENT ACTIVITY, OR REGULATORY ACTIONS; (IV) DISPUTES REGARDING PAYMENT EXECUTION, FX RATES, SETTLEMENT AMOUNTS, OR FEES CHARGED BY PAYMENT PROVIDERS; OR (V) ANY THIRD-PARTY SOFTWARE, SERVICES, OR CONTENT ACCESSED THROUGH OR INTEGRATED WITH THE PLATFORM.
ANY DISPUTES REGARDING PAYMENT EXECUTION, FX CONVERSION, SETTLEMENT, TRANSFERS, OR FEES MUST BE DIRECTED TO YOUR RELEVANT PAYMENT PROVIDER, NOT TO EDUPAYOS. EDUPAYOS PROVIDES WORKFLOW ORCHESTRATION AND STATUS TRACKING, BUT THE ACTUAL FINANCIAL TRANSACTIONS ARE EXECUTED BY YOUR LICENSED PAYMENT PARTNERS.
You agree to indemnify, defend, and hold harmless EduPayOS, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable legal fees and costs), and other charges arising out of or in connection with:
EduPayOS reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with EduPayOS's defence of such claims. You may not settle any claim that would impose any obligation or liability on EduPayOS without EduPayOS's prior written consent.
You may terminate your account and access to the Platform at any time by: (i) contacting us at support@edupayos.com and requesting account closure; (ii) using account closure features available in your account settings (where available); or (iii) ceasing to use the Platform and notifying us of your intent to terminate.
Upon termination by you, your right to access and use the Platform will cease immediately. You remain responsible for: (i) all fees and charges accrued up to the date of termination; (ii) any obligations or liabilities arising from your use of the Platform; and (iii) backing up or exporting your data before account closure (if desired). EduPayOS may retain your data for a period as required by law or as necessary to resolve disputes, but you will no longer have access to your account or data.
We may suspend, restrict, or terminate your access to the Platform immediately, without prior notice, if:
We may also terminate your account with reasonable notice for any other reason, including discontinuation of the Platform or certain features, business changes, or for any other legitimate business reason. In such cases, we will provide you with reasonable notice (where practicable) and an opportunity to export your data (where applicable).
Upon termination for any reason: (i) your right to access and use the Platform will cease immediately; (ii) your account will be deactivated and you will no longer have access to your account, data, or Platform features; (iii) you remain responsible for all fees, charges, and obligations accrued up to the date of termination; (iv) EduPayOS may retain your data for a period as required by law, regulation, or as necessary to resolve disputes, enforce our agreements, or comply with legal obligations; and (v) provisions of these Terms that by their nature should survive termination (including but not limited to Sections 5, 6, 7, 8, 11, and 12) will survive and continue to apply.
After termination, you may request deletion of your personal data in accordance with our Privacy Policy and applicable data protection laws, subject to legal retention requirements. We will process deletion requests within one month (or up to three months for complex requests), subject to any legal obligations that require us to retain certain data.
These Terms, and any disputes arising out of or in connection with these Terms or the Platform, shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles or provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Any disputes arising out of or in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales. You irrevocably consent to the jurisdiction of such courts and waive any objection to the venue of such courts, including any objection based on forum non conveniens or similar grounds.
Before initiating formal legal proceedings, you and EduPayOS agree to attempt to resolve any disputes through good faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may request that the dispute be referred to mediation in accordance with the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure. If mediation is unsuccessful or if either party refuses to participate in mediation, either party may pursue legal remedies through the courts of England and Wales.
To the fullest extent permitted by applicable law, you agree that any disputes will be resolved individually and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against EduPayOS.
These Terms, together with our Privacy Policy, Cookie Policy, and any service-specific agreements, order forms, or pricing schedules that you have agreed to, constitute the entire agreement between you and EduPayOS regarding the Platform and Services, and supersede all prior or contemporaneous agreements, understandings, negotiations, or communications, whether oral or written, relating to the subject matter of these Terms.
We reserve the right to modify, amend, or update these Terms at any time, for any reason, including to reflect changes in our Services, legal requirements, business practices, or for other operational, legal, or regulatory reasons. When we make material changes to these Terms, we will: (i) update the "Last updated" date at the top of these Terms; (ii) notify you by email (if you have provided an email address) or through a prominent notice on the Platform; (iii) provide a summary of material changes, where appropriate; and (iv) obtain your consent where required by applicable law for material changes.
Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms, unless we are required by law to obtain your explicit consent. If you do not agree with the changes, you must stop using the Platform and may request deletion of your account in accordance with Section 9 above.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that comes closest to the intent of the original provision.
No failure or delay by EduPayOS in exercising any right, power, or remedy under these Terms shall constitute a waiver of that right, power, or remedy, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise of that or any other right, power, or remedy. Any waiver must be in writing and signed by EduPayOS.
You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without EduPayOS's prior written consent. Any attempted assignment, transfer, or delegation without such consent shall be null and void. EduPayOS may assign, transfer, or delegate these Terms or any of its rights or obligations hereunder at any time, including in connection with a merger, acquisition, sale of assets, or corporate reorganisation, without your consent, provided that EduPayOS will provide you with reasonable notice of any such assignment or transfer.
Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and EduPayOS. You are an independent user of the Platform, and EduPayOS is an independent service provider. Neither party has the authority to bind the other party or to act on behalf of the other party in any capacity.
EduPayOS shall not be liable for any failure or delay in performance under these Terms that is due to causes beyond its reasonable control, including but not limited to: natural disasters, pandemics, acts of war, terrorism, civil unrest, labour disputes, strikes, government actions, regulatory actions, cyberattacks, infrastructure failures, internet outages, or failures of third-party service providers. In such circumstances, EduPayOS will use reasonable efforts to mitigate the impact and resume performance as soon as reasonably practicable.
Any notices, requests, or other communications required or permitted under these Terms must be in writing and delivered to: (i) you, at the email address associated with your account or as otherwise specified in your account settings; or (ii) EduPayOS, at legal@edupayos.com or such other email address as EduPayOS may designate from time to time. Notices shall be deemed delivered: (i) upon receipt if delivered by email (provided that receipt is confirmed); (ii) upon delivery if delivered by registered post; or (iii) when posted on the Platform (in the case of Platform-wide notices).
Except as expressly provided in these Terms, nothing in these Terms is intended to confer any rights or remedies upon any person or entity other than you and EduPayOS. These Terms do not create any third-party beneficiary rights.
